I.          Executive Director Search (10 minutes)                   Tim O’Donnell

  • Tim will provide an update on the search and review the process with the Executive Committee (EC). 
     

II.        Legal issues (20 minutes)                                           David Narefsky/Lorraine Tyson
                                                                                                Mayer, Brown, Rowe & Maw 

  • David and Lorraine will introduce themselves and review a “checklist” of legal issues they believe the Board must consider and when.
  • EC and CCA team will discuss what each item means (not the substance) and will develop a plan (e.g. next steps/meetings) for dealing with the issues identified. 
     

III.       Board Organization (30 minutes)                             John Livingston
                                                                                              McKinsey & Company 

  • John will introduce himself and review the topics (board structure, including relationship to MPO, CATS, and NIPC; flow of funds; and funding approach) McKinsey will work on with the EC.
  • EC and CCA team will discuss:

>     Are these the right topics?

>      What is the right approach (we have suggested 6 weeks, checking in every week with the EC, but other approaches might be possible)?

>      Next steps (one-on-one meetings with EC members, regular meetings with EC, other)
 

IV.       EC Next Steps and Milestones (10 minutes)
